1. Acceptance of These Terms

These Terms of Service ("Terms") are an agreement between you and The Retail Run, Inc. ("The Retail Run," "we," "us," or "our").

By visiting theretailrun.com, learn.theretailrun.com, or any of our other subdomains, or by signing up for our email or text message programs, you agree to these Terms. If you do not agree, please do not use our sites.

2. What We Provide

Our websites are marketing and information sites. Through them you can:

• Learn about The Retail Run and our live shopping shows
• Join our email and text message lists
• Enter giveaways we run from time to time
• Join the waitlist for, and get information about, our mentorship and community programs

Our websites do not process orders, take payments, handle shipping, or process returns or refunds. If you have a question or problem with an order, please use Whatnot's order support process.

3. Who Can Use Our Sites

You must be at least 18 years old, or the age of majority in your state if that is higher, to use our sites or sign up for our email or text programs. Our sites are intended for users located in the United States.

4. Email and Text Message Programs

When you submit a form on our sites, you are asking us to contact you.

• Email. If you give us your email address, you agree that we may send you marketing emails. Every marketing email includes an unsubscribe link.
• Text messages. If you check the SMS consent box, you agree to receive text messages from The Retail Run. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to opt out. Reply HELP for help. Carriers are not liable for delayed or undelivered messages.
• Accurate information. You agree to give us accurate contact information and to provide only a phone number that belongs to you.

5. Giveaways and Promotions

We run giveaways from time to time, including for people on our text message list.

• No purchase is necessary to enter or win. A purchase does not improve your chance of winning.
• Giveaways are void where prohibited or restricted by law.
• Each giveaway has its own official rules, which we will publish or announce with that giveaway. Those rules describe how to enter, the entry period, the prize, and how the winner is chosen and notified.
• Winners are responsible for any taxes on the prize.
• Entrants must be 18 or older and legal residents of the United States.
• Our giveaways are not sponsored, endorsed, or administered by Whatnot, Instagram, TikTok, Meta, or any other platform.

6. Mentorship and Educational Content

Our mentorship program, community, videos, guides, and other educational materials are provided for informational and educational purposes only. They are not business, financial, tax, legal, or investment advice. You are responsible for your own business decisions, and you should consult qualified professionals before acting on anything you learn from us.

We may change, pause, or discontinue any educational program or its contents at any time.

7. Earnings Disclaimer

Any income figures, sales numbers, results, or examples we share — whether from our own business, from students, or from anyone else — are illustrations of what is possible. They are not promises, projections, or guarantees of what you will earn. Results are not typical.

Your results depend on many things we do not control, including your effort, your experience, your available capital, your sourcing and supplier relationships, the amount of time you put in, the market you sell into, platform rules and fees, and general economic conditions. Reselling is a business, and every business carries the risk of losing money.

By using our sites or participating in our programs, you accept that you are solely responsible for your own results.

8. Testimonials and Endorsements

Testimonials and reviews shown on our sites are from real customers and reflect those individuals' own experiences. They are not a guarantee that you will have the same experience, and they should not be understood as typical results.

If someone who provides a testimonial or endorsement received anything of value from us — such as free or discounted product, payment, or a commission — we will disclose that connection near the testimonial, as required by the Federal Trade Commission's Endorsement Guides.

9. Intellectual Property

The content on our sites — including text, graphics, logos, photos, video, and course or program materials — is owned by The Retail Run, Inc. or our licensors and is protected by copyright, trademark, and other laws. "The Retail Run" name and logo are our trademarks.

You may view and share our public content for personal, non-commercial purposes. You may not copy, reproduce, republish, sell, or create derivative works from our content, or use our name or logo, without our written permission.

If you participate in a paid program, you receive a personal, non-transferable license to use the materials for your own business. You may not share, resell, or redistribute those materials.

10. Acceptable Use

When using our sites, you agree not to:

• Break any law or regulation
• Scrape, harvest, or automatically collect data from our sites
• Submit false information or someone else's contact information
• Send spam or unsolicited messages through any form on our sites
• Upload viruses or malicious code
• Attempt to gain unauthorized access to our sites, accounts, or systems
• Interfere with, overload, or disrupt our sites
• Reverse engineer any part of our sites or programs
• Impersonate us or misrepresent your relationship with us

11. Third-Party Sites and Services

Our sites link to third parties, including Whatnot and social media platforms. We do not control those services and are not responsible for their content, products, policies, or practices. Your use of a third-party service is governed by that service's own terms and privacy policy.

12. Disclaimer of Warranties

Our sites and content are provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our sites will be uninterrupted, error-free, or secure, or that any content is accurate, complete, or current.

Some states do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by law, The Retail Run, Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, or lost business opportunities, arising out of or related to your use of our sites, our content, or our programs.

To the fullest extent permitted by law, our total liability for any claim relating to our sites or content is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one hundred dollars ($100).

Some states do not allow the limitation or exclusion of certain damages, so parts of this section may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless The Retail Run, Inc. and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of our sites, your violation of these Terms, or your violation of any law or the rights of any third party.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules.

Any dispute arising out of or relating to these Terms or our sites will be brought exclusively in the state or federal courts located in Nassau County, New York, and you consent to the jurisdiction of those courts.

16. Termination

We may suspend or terminate your access to our sites, our email or text lists, or any program, at any time and for any reason, including if we believe you have violated these Terms. We may also remove content or refuse service at our discretion.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the new version on this page and update the "Last Updated" date. Your continued use of our sites after we post an update means you accept the revised Terms.

18. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding our websites.
